Snag Market Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Snag Market platform (“Platform”), operated by Substr8 Technologies Inc. (“Substr8,” “we,” “our,” or “us”). By creating an account or otherwise using Snag Market, you agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of a company, production, or other legal entity, you represent that you are authorized to bind such entity, and “you” will refer to that entity.

1. Eligibility

1.1 You must be at least 18 years old to use the Platform.
1.2 You may only register on behalf of an entity if you are duly authorized to do so.

2. Account Registration and Responsibility

2.1 You agree to provide true, accurate, and complete information during registration and to keep such information current.
2.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
2.3 You must promptly notify Substr8 of any unauthorized access or security breach.

3. Permitted Use of the Platform

3.1 You may use Snag Market only for lawful purposes connected with film sponsorships, product placements, brand offers, and related transactions.
3.2 You agree not to:
(a) post false, misleading, or unlawful content;
(b) misuse, reverse engineer, or attempt to disrupt the Platform;
(c) use automated tools (bots, scrapers, etc.) without our written consent; or
(d) upload content that infringes intellectual property or violates third-party rights.

4. User Content

4.1 “User Content” means all information, materials, products, brand assets, film details, offers, and communications that you upload or transmit through the Platform.
4.2 You represent and warrant that you own or have the necessary rights to provide User Content.
4.3 You grant Substr8 a worldwide, non-exclusive, royalty-free license to host, display, and distribute User Content solely in connection with providing the Platform.

5. No Guarantee of Deals

5.1 Snag Market is a facilitation platform. We do not guarantee that any brand sponsorship, product placement, or deal will occur as a result of your use.
5.2 Substr8 is not a party to any agreements entered into between brands and filmmakers unless explicitly stated in writing.

6. Fees and Payments

6.1 Certain services may be subject to fees, commissions, or other charges, which will be disclosed prior to your use of such services.
6.2 By using paid features, you agree to the applicable pricing and payment terms.

7. Third-Party Services

7.1 The Platform may include links or integrations with third-party services. Substr8 is not responsible for the availability, security, or practices of third parties.
7.2 Use of third-party services is at your own risk and subject to their terms.

8. Intellectual Property

8.1 All rights, title, and interest in and to Snag Market, including its design, features, software, and trademarks, are owned by Substr8 Technologies Inc.
8.2 Except as expressly permitted, you may not copy, modify, or distribute any part of the Platform.

9. Termination

9.1 Substr8 may suspend or terminate your account at any time if you violate these Terms or misuse the Platform.
9.2 You may deactivate your account at any time. Certain obligations (such as payment and indemnity) will survive termination.

10. Privacy

10.1 By using the Platform, you consent to our collection and use of personal and business information as described in the Snag Market Privacy Policy.

11. Disclaimers

11.1 Snag Market is provided “as-is” and “as-available.” We make no warranties, express or implied, including fitness for a particular purpose, merchantability, or non-infringement.
11.2 Substr8 does not warrant that the Platform will be uninterrupted, error-free, or secure.

12. Limitation of Liability

12.1 To the fullest extent permitted by law, Substr8 shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, missed opportunities, or reputational harm, arising from your use of the Platform.
12.2 Our total liability to you for any claim shall not exceed the greater of: (a) CAD $500, or (b) the total fees paid by you to Substr8 in the twelve months preceding the claim.

13. Indemnification

13.1 You agree to indemnify and hold harmless Substr8, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising out of:
(a) your use of the Platform;
(b) your User Content; or
(c) your violation of these Terms or third-party rights.

14. Governing Law & Dispute Resolution

14.1 These Terms are governed by the laws of Ontario, Canada, without regard to conflict of laws.
14.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

15. General

15.1 These Terms constitute the entire agreement between you and Substr8 regarding Snag Market.
15.2 If any provision is found invalid, the remainder will remain in effect.
15.3 Our failure to enforce any right shall not be deemed a waiver.
15.4 Substr8 may update these Terms at any time, and continued use of the Platform constitutes acceptance of the updated Terms.

By checking the “I Agree” box and creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the Privacy Policy.
